Article 1 β€” Identity and Scope

1.1 These Terms and Conditions ("Terms") govern all use of the WEREMAP platform (weremap.com) and any services offered through it. WEREMAP is a trading name operated from the Netherlands. 1.2 These Terms apply exclusively to business-to-business (B2B) transactions. The platform is intended solely for use by professionals in the automotive industry, including but not limited to tuning workshops, garages, ECU specialists, and resellers. Consumer use is not permitted. 1.3 By registering an account, purchasing credits, or placing an order, you confirm that you are acting in a professional capacity and that you have read, understood, and agree to be bound by these Terms in their entirety. 1.4 If you do not accept these Terms, you must not use the platform.

Article 2 β€” Definitions

In these Terms, the following definitions apply: "WEREMAP" means the operator of the platform at weremap.com. "Customer" means the registered business or professional using the platform. "Platform" means the WEREMAP website, dashboard, APIs, and related services. "Services" means ECU/TCU file modifications, DTC removal, mapping tools, and any other services made available through the platform. "Credits" means prepaid units of account used to purchase Services, where 1 Credit equals approximately €1. "Order" means a Customer request for Services submitted via the platform. "File" means an original or modified ECU or TCU binary file uploaded or delivered via the platform. "Working Hours" means Monday to Friday, 08:00–18:00 CET/CEST, excluding Dutch public holidays.

Article 3 β€” Formation of Agreement

3.1 An agreement between WEREMAP and the Customer is formed when the Customer submits an Order and WEREMAP confirms acceptance of that Order. 3.2 WEREMAP reserves the right to decline any Order at its discretion without providing a reason. 3.3 These Terms supersede any prior agreements, representations, or arrangements between the parties relating to the subject matter herein. 3.4 Any Customer terms or purchase conditions are expressly excluded and shall have no effect.

Article 4 β€” B2B Professional Use

4.1 The platform is restricted to professional use by verified automotive businesses. By registering, the Customer warrants that it is a legal business entity or sole trader acting in a commercial capacity. 4.2 Consumer protection legislation, including but not limited to the Dutch Consumer Protection Act and EU consumer rights directives, does not apply to transactions conducted on this platform. 4.3 The Customer acknowledges that it possesses the professional knowledge, equipment, and competence required to safely use the Services, including the ability to read and write ECU/TCU files.

Article 5 β€” Customer Information Duty

5.1 The Customer is solely responsible for providing accurate, complete, and up-to-date information when placing an Order. This includes vehicle identification, ECU/TCU type, hardware and software version numbers, original file, and any relevant vehicle history. 5.2 WEREMAP relies entirely on the information and files provided by the Customer. WEREMAP does not inspect vehicles, verify file authenticity, or validate vehicle condition. 5.3 If inaccurate or incomplete information is provided, WEREMAP bears no responsibility for any resulting failure, damage, or incompatibility. 5.4 The Customer must notify WEREMAP of any special conditions or known faults before placing an Order.

Article 6 β€” Nature of Services

6.1 WEREMAP provides digital file modification services. All Services are custom digital works created specifically for each Order. 6.2 WEREMAP does not install, flash, or physically interact with any vehicle or ECU/TCU unit. All flashing, installation, and associated physical work is performed solely by the Customer or its agents. 6.3 WEREMAP does not provide vehicle diagnostics, fault finding, mechanical advice, or dyno tuning services. 6.4 Delivery timescales given by WEREMAP are estimates only and are not contractually binding. WEREMAP will endeavour to meet stated delivery times but accepts no liability for delays.

Article 7 β€” Vehicle Condition and Diagnostics

7.1 The Customer warrants that the vehicle for which an Order is placed is in a suitable mechanical and electrical condition to receive the requested Services. 7.2 The Customer is responsible for performing all necessary pre-tuning diagnostics, fault-code checks, and mechanical inspections before uploading a file or placing an Order. 7.3 WEREMAP will not be held liable for any damage, malfunction, or adverse outcome resulting from pre-existing mechanical or electrical faults, worn components, or undisclosed modifications to the vehicle.

Article 8 β€” Tools, Flashing, and Installation

8.1 The Customer is solely responsible for the suitability, calibration, and correct operation of any ECU reading or writing tool used in conjunction with WEREMAP Services. 8.2 WEREMAP accepts no liability for damage caused by tool errors, interrupted flashing, incorrect connection procedures, or incompatible hardware. 8.3 The use of clone, counterfeit, or unlicensed ECU tools voids any right to revisions or credit returns under these Terms. 8.4 The Customer is responsible for maintaining data backups of original files before flashing any modified file.

Article 9 β€” Emissions and Road Legality

9.1 Services involving the removal or modification of emissions-related systems β€” including but not limited to DPF, EGR, AdBlue/SCR, catalytic converters, and OPF β€” are provided strictly for off-road use, motorsport applications, export to jurisdictions where such modifications are legal, or vehicle testing purposes only. 9.2 The Customer is solely responsible for ensuring that any modification performed complies with all applicable laws and regulations in the jurisdiction where the vehicle will be operated. 9.3 WEREMAP expressly disclaims any liability for regulatory penalties, fines, vehicle impoundment, or any other consequence arising from the use of emissions-modified files on public roads or in regions where such modifications are prohibited. 9.4 By ordering any emissions-related service, the Customer confirms that the vehicle will not be used on public roads in a jurisdiction where the modification is unlawful.

Article 10 β€” Credits, Prices, and Payment

10.1 Services are purchased using Credits. Credits are prepaid B2B units of account denominated in EUR. 1 Credit equals approximately €1. 10.2 Credits are non-transferable between accounts and carry no monetary value outside the platform. 10.3 Credit prices are displayed in EUR and are inclusive of any applicable taxes unless otherwise stated. 10.4 WEREMAP reserves the right to change Credit prices at any time. Changes will not affect Credits already purchased. 10.5 Purchased Credits do not expire provided the associated account remains active. 10.6 WEREMAP may at its sole discretion award bonus Credits, apply promotional pricing, or offer individual pricing arrangements. Such arrangements do not create any ongoing obligation.

Article 11 β€” Refunds, Credits, and Revisions

11.1 All Services constitute custom digital works made to specification. Once an Order has entered processing, the associated Credits are consumed and are not refundable to cash under any circumstances. 11.2 If WEREMAP is unable to process an Order for reasons within its control, the Credits for that Order will be returned to the Customer's account. 11.3 If a delivered file contains a proven technical defect attributable to WEREMAP's work, the Customer is entitled to one (1) revision at no additional cost. A revision request must be submitted via the Order's support ticket within fourteen (14) calendar days of file delivery. 11.4 If WEREMAP is unable to resolve the defect after the revision, Credits equivalent to the Order value will be returned to the Customer's account. No cash or monetary refunds will be issued. 11.5 Revisions are not available where the issue results from: incorrect information or files provided by the Customer; tool errors or clone tools; mechanical faults in the vehicle; third-party modification of the delivered file; or any factor outside WEREMAP's control.

Article 12 β€” Support, Complaints, and Claims

12.1 Support is provided via Order support tickets on the platform during Working Hours. 12.2 All claims, defect reports, or complaints must be submitted within fourteen (14) calendar days of file delivery. Claims submitted after this period will not be accepted. 12.3 To be considered valid, a claim must include: the Order number; a detailed description of the issue; original and modified files where applicable; and relevant log files, fault codes, or dyno data. 12.4 WEREMAP will endeavour to acknowledge support tickets within 1 Working Day and to resolve issues within a reasonable timeframe. 12.5 Abuse, threats, or harassment directed at WEREMAP staff will result in immediate account suspension without refund.

Article 13 β€” Warranty

13.1 WEREMAP warrants that Services will be performed with reasonable professional care and skill, in accordance with industry standards. 13.2 WEREMAP does not warrant that any tuning file will achieve specific power or torque outputs, fuel economy improvements, or any other specific performance result, as outcomes depend on vehicle condition, hardware, and factors beyond WEREMAP's control. 13.3 No warranty is given that Services will be compatible with vehicles that have been modified from factory specification beyond what was disclosed in the Order. 13.4 All other warranties, conditions, or representations β€” whether express, implied, statutory, or otherwise β€” are excluded to the maximum extent permitted by law.

Article 14 β€” Intellectual Property and Licence

14.1 All modified files, maps, calibration data, tools, software, and platform content produced by WEREMAP are and remain the intellectual property of WEREMAP. 14.2 Upon payment, WEREMAP grants the Customer a non-exclusive, non-transferable licence to use the delivered file solely for the specific vehicle identified in the Order. 14.3 The Customer may not copy, resell, redistribute, sublicense, reverse-engineer, or otherwise share delivered files with any third party. 14.4 The Customer may not use delivered files as a basis for creating derivative works or competing services.

Article 15 β€” Account Integrity

15.1 The Customer is responsible for maintaining the security and confidentiality of its account credentials. 15.2 The Customer may not share account access with third parties, allow multiple users to operate a single account, or use the account in a manner that circumvents the intended per-vehicle licensing model. 15.3 WEREMAP reserves the right to suspend or terminate any account that it reasonably suspects is being used fraudulently, in violation of these Terms, or in a manner harmful to WEREMAP or other customers. 15.4 Upon termination, any unused Credits are forfeited unless WEREMAP determines otherwise at its sole discretion.

Article 16 β€” Data, Files, and Privacy

16.1 The Customer grants WEREMAP a licence to process, store, and use uploaded files solely for the purpose of fulfilling Orders and improving the platform's services. 16.2 WEREMAP will retain uploaded and modified files for a reasonable period to facilitate support and revisions. Files may be deleted after 12 months without notice. 16.3 Personal data is processed in accordance with WEREMAP's Privacy Policy, which forms part of these Terms. 16.4 The Customer warrants that any personal data contained in uploaded files has been collected and may be processed in compliance with applicable data protection law.

Article 17 β€” Confidentiality

17.1 Each party agrees to keep confidential all non-public information received from the other party in connection with the Services. 17.2 WEREMAP will not disclose Customer files, Order details, or commercially sensitive information to third parties except as required to fulfil the Order or as required by law. 17.3 The Customer will not disclose WEREMAP's pricing, calibration methodologies, tool configurations, or proprietary processes to third parties.

Article 18 β€” Limitation of Liability

18.1 WEREMAP's total aggregate liability to the Customer under or in connection with these Terms β€” whether in contract, tort (including negligence), breach of statutory duty, or otherwise β€” shall not exceed EUR 1,000 per incident or EUR 1,000 in aggregate per calendar year. 18.2 WEREMAP shall not be liable for: loss of profits; loss of revenue; loss of business; loss of anticipated savings; business interruption; damage to or loss of goodwill or reputation; loss of data; indirect, special, or consequential loss; vehicle damage or mechanical failure; ECU or TCU damage; warranty voidance; insurance claims; regulatory penalties; or any loss arising from the use of emissions-modification services on public roads. 18.3 Nothing in these Terms excludes liability for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded by law. 18.4 The Customer is responsible for maintaining adequate professional indemnity and vehicle insurance coverage.

Article 19 β€” Indemnity

19.1 The Customer shall indemnify, defend, and hold harmless WEREMAP and its officers, employees, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from: the Customer's use of the Services; the Customer's breach of these Terms; inaccurate or incomplete information provided by the Customer; the Customer's violation of any applicable law or regulation; damage to vehicles, ECUs, or third-party property caused by the Customer's actions; or any claim by the Customer's end-customer.

Article 20 β€” Force Majeure

20.1 WEREMAP shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God; pandemics; war or civil unrest; government action or regulation; fire, flood, or natural disaster; power outages; cyberattacks; supplier failures; or industrial action. 20.2 WEREMAP will notify the Customer as soon as reasonably practicable if a force majeure event affects the delivery of Services and will use reasonable endeavours to minimise the impact.

Article 21 β€” Changes to Terms

21.1 WEREMAP reserves the right to update or amend these Terms at any time. The updated Terms will be published on the platform with a revised "Last updated" date. 21.2 Continued use of the platform following publication of updated Terms constitutes the Customer's acceptance of those changes. 21.3 Where changes are material, WEREMAP will endeavour to provide notice via email or platform notification at least 14 days before the changes take effect.

Article 22 β€” Severability

22.1 If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. 22.2 The remaining provisions of these Terms shall continue in full force and effect.

Article 23 β€” Governing Law and Jurisdiction

23.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Netherlands. 23.2 The parties irrevocably submit to the exclusive jurisdiction of the courts of the Netherlands to settle any dispute or claim arising out of or in connection with these Terms. 23.3 If mandatory consumer protection law in the Customer's jurisdiction applies despite Article 4, nothing in these Terms shall be construed to limit rights the Customer may have under such law.
